The Firm offers a variety of services relating to drafting and analyzing contracts and special provisions. Generally, when you need assistance with a contract it will likely fall within a particular area. The descriptions below are offered to help you focus on your specific needs and issues. | Negotiations - Contract Negotiation Services - Using Other Party's Contract The Firm will be the primary contact between you and your contracting parties. All negotiations will be communicated through the Firm. Upon engaging the Firm's services, the Firm will first discuss the deal with you to determine your desired objectives for the transaction, and assess the likelihood of obtaining your desired objectives. The Firm will then review the proposed contract document to determine whether changes will be required to meet your key objectives, communicate any issues to you, and determine a negotiating strategy acceptable to you on all issues. The Firm will then negotiate to obtain a deal as closely aligned to your objectives as possible. The Firm will advise you on the risks and advantages reflected in the final contract document. You will retain the right to accept or reject the final contract document terms. This service includes reviewing, analyzing, and drafting proposed alterations to contract language during the negotiations. |

The Firm will then develop a negotiating strategy acceptable to you. The Firm will then negotiate to obtain a deal as closely aligned to your objectives as possible. The Firm will handle modifications to the contract document that may become essential to closing the deal. The Firm will advise you on the risks and advantages reflected in the final contract document. You will retain the right to accept or reject the final contract document terms. This service includes all initial modifications prior to submitting the contract document to the other party, reviewing, analyzing and drafting proposed alterations to contract language during the negotiations. |
| Analysis - Scope of Contractual Performance Obligations The Firm will review your existing contract in connection with your specific question about the scope of a peformance obligation (yours or the other party's) and provide you with a written analysis of the applicable contract language. |
| Analysis - Possible Breach of Contract The Firm will review your existing contract and additional facts you provide in connection with your specific question about a possible breach of contract claim (yours or the other party's) and provide you with a written analysis of the applicable contract language. |
| Analysis - Contract Termination Options The Firm will review your existing contract and additional facts you provide in connection with your specific question about whether you (or the other party) may terminate the contract and provide you with a written analysis of the applicable contract language. |
| Analysis - Contract Remedies/Damages The Firm will review your existing contract and additional facts you provide in connection with your specific question about possible remedies and damages available to you (or the other party) assuming a breach of contract has occurred and provide you with a written analysis of the applicable contract language. No analysis will be provided on the issue of whether there are grounds to support a claim of breach. |
| Analysis - Client's Standard Form Contracts The Firm will review your existing "standard form" contracts in light of your stated business policies and practices, and provide a written summary of issues of concern for your consideration. This service is limited to analysis and does not include drafting services to revise the client's "standard form" contracts. |
| Drafting - Update Client's Existing "Standard Form" Contracts The Firm will review your existing "standard form" contracts in light of your stated business policies and practices, and provide a copy of your contract with the Firm's comments and suggested changes embedded in the document. This includes both analysis and drafting services to revise your "standard form" contracts. |
| Drafting - New "Standard Form" Contracts The Firm will draft a set of "standard form" contracts incorporating your preferred business rules, policies and practices. |
| Drafting - Custom Contract The Firm will draft a contract for a custom deal you may wish to pursue or a new business model that you have developed. |
